Board Solutions

IRI can provide your Boards and related committees with a full service secretariat leaving you more time to concentrate on the management of your company and increasing shareholder value.

IRI recognizes that there is also a need for secretariat services within smaller public entities, more specifically managing their board of directors and related committees. The size of these entities ranges from as little as $2 million in AUM to several billion.

We provide a full time Secretariat so that there is always someone available to deal with any inquiries from a Board member or the organization.

IRI will act as the Independent Secretary of the Board and its related committees and provide a full “Secretariat” (i.e., an office and/or official(s) entrusted with administrative duties, maintaining records, and overseeing or performing secretarial duties, creating agendas and taking minutes for the Board and its related committees). You will also have access to Board Extranet which enables you to access your documents at your convenience. VISIT OUR BOARD EXTRANET

IRI can also ensure your Board is run in accordance with best governance practices. LEARN MORE about our Corporate Governance capabilities.

IRI has developed an expertise in conducting annual self-assessment reviews for Boards and its related committees. LEARN MORE about our Independent Board Assessments.

Corporate Governance

In January 2004, the OSC issued a “Request for Comment - Notice of Proposed Multilateral Policy 58-201 Effective Corporate Governance and Proposed Multilateral Instrument 58-101 Disclosure of Corporate Governance Practices”.

The stated purpose of the Proposed Policy is to confirm as best practice certain governance standards and guidelines that have evolved through legislative and regulatory reforms and the initiatives of other capital market participants. For example, in July, 2002, the Sarbanes-Oxley Act (SOX) was enacted in the United States. SOX prescribed a broad range of measures designed to restore the public’s faith in the U.S. capital markets in the wake of several U.S. financial reporting scandals. Since then there have been a number of regulatory developments including, most recently, the approval of revised listing standards of the New York Stock Exchange (NYSE) and the Nasdaq Stock Market in November, 2003.
